1. BINDING AGREEMENT

These Terms and Services (“Terms”) constitute a legally binding agreement between Rails Technology Inc., a company incorporated under the laws of the British Virgin Islands (“Rails”, “we”, “us”), and the user or entity (“Client”, “you”) accessing our website and/or the Rails Hub platform. By using our services, you acknowledge that you have read, understood, and agreed to these Terms.

2. NATURE OF SERVICES (NON-REGULATED STATUS)

2.1 Technology Service Provider (TSP): Rails is strictly a Technology Service Provider and Operational Advisory firm. We provide a Software-as-a-Service (SaaS) infrastructure named “Rails Hub” designed for data orchestration, document management, and compliance support.

2.2 Regulatory Disclaimer: Rails is NOT a bank, payment service provider, money transmitter, or foreign exchange broker. We do not hold, custody, or manage client funds. Rails does not execute or settle financial transactions.

2.3 Licensed Partners: All regulated financial activities (exchange, payments, custody) resulting from the data orchestrated by Rails are executed exclusively by licensed third-party financial institutions in their respective jurisdictions.

3. RAILS HUB PLATFORM USE

3.1 Access License: We grant you a limited, non-exclusive, non-transferable, and revocable license to access the Rails Hub for your internal business operations.

3.2 Proprietary Rights: Rails retains all rights, title, and interest in and to the platform, including all software code, algorithms, UI/UX design, and any improvements or derivatives thereof.

3.3 API Integration: Clients using our API must comply with our technical specifications and security standards. Rails reserves the right to suspend API access in case of security threats or unauthorized use.

4. USER OBLIGATIONS & REPRESENTATIONS

You represent and warrant that:

• All documentation submitted to the Rails Hub is authentic, accurate, and up-to-date.• You will not use our services for money laundering, terrorist financing, or any activity that violates international sanctions.

• You are responsible for all actions performed through your credentials.

5. LIMITATION OF LIABILITY

5.1 Advisory Nature: Rails provides tools to organize and verify data. We do not guarantee that any financial institution will approve your onboarding or authorize your transactions.

5.2 Technical Performance: Rails shall not be liable for any temporary service interruptions, third-party API failures, or loss of profits arising from institutional decisions made by banks or regulators.

5.3 Cap on Liability: To the maximum extent permitted by law, Rails’ total liability for any claim shall not exceed the amount paid by the Client to Rails in the three (3) months preceding the event.

6. GOVERNING LAW & JURISDICTION

These Terms are governed by the laws of the British Virgin Islands (BVI). Any dispute, controversy, or claim shall be settled exclusively by the courts of the British Virgin Islands.
